If the section 936 corporation has one corporate shareholder that satisfies the requirements of an 80-percent distributee, sections 332(a) and 337(a) allow the corporation to be liquidated into its parent corporation without recognition of gain or loss by either the liquidating section 936 corporation or its parent corporation.
