On February 16, 2007, Compass announced that it would be acquired by Banco Bilbao Vizcaya Argentaria, the second largest bank in Spain. The deal was completed successfully and as of Friday, September 7th, 2007, Compass Bancshares became a wholly owned subsidiary of BBVA. Compass has full corporate power and authority and no further corporate proceedings on the part of Compass are necessary to execute and deliver this Agreement and to consummate the transactions contemplated hereby, all of which have been duly and validly authorized by Compass' Board of Directors.
Compass and the Company shall use their best efforts to file all notices and applications to the FRB, the OTS, the Superintendent, the Commissioner and the FDIC on or before December 1, 1999 which Compass deems necessary or appropriate to complete the transactions contemplated herein.
Compass, the Members and the Company shall use their respective best efforts to obtain or cause to be obtained consents of all third parties and governmental and regulatory authorities necessary or desirable for the consummation of the transactions contemplated herein.
