| If Field Services does not successfully oppose or move successfully to quash any subpoena or other legal process directed to the Employee after being notified of it by him, he shall be free to respond to the subpoena as he determines to be appropriate. |
| Field Services may withhold from any amounts payable under this Agreement such federal, state, local or foreign taxes or other withholdings as shall be required to be withheld pursuant to any applicable law or regulation. |
