Clear Channel agrees to buyout deal : Business (640 words)
The founding family of the company -- founder Lowry Mays and his sons Mark and Randall -- is participating in the buyout, but the financial terms have not been disclosed.
As per the terms of the deal, Mark Mays will continue to be chief executive of the company and Randall president and chief financial officer, while Lowry Mays, the current chairman, will continue in an active role.
Lowry Mays, who is likely to become chairman emeritus after the deal is closed, has agreed to forego a lump sum cash payment equaling seven times the sum of his highest bonus in the last three years, which would be $3 million at minimum, and base salary.

Lowry Mays, the current chairman and his sons Mark, the chief executive, and Randall, the chief financial officer, amended their employment agreements as part of the offer from Boston-based investment firms Bain Capital Partners LLC and Thomas H. Lee Partners LP, the company said.

Mark and Randall Mays, who plan to remain in their positions, would get lower lump-sum payments upon termination "by company without cause or by executive for good reason." Instead of a multiple of seven, they would get 2.99 times their highest recent bonus, which could be no less than $1 million, plus base salary.
