In 1982 Martin Marietta was subject to a hostile takeover bid by the Bendix Corporation. Bendix bought the majority of Martin Marietta shares and in effect owned the company. However Martin Marietta's management used the short time separating ownership and control to sell non-core businesses and launch its own hostile takeover of Bendix (the Pac-Man Defense). Martin began manufacturing aircraft in the early days of aviation at the beginning of the 20th century and went on to become one of the leading military airplane manufacturers in the United States.
Martin was able to underbid Consolidated on the monoplanes because it did not have to bear the development costs.
Martin accepted the award on behalf of "everyone who worked on the design and who helped rivet it together." But that wasn't good enough for the Air Corps Materiel Division, whose engineers insisted that Martin should have said he "owed it all" to them.
