Petrofina is a Belgium-based integrated oil company with interests in oil and gas production, refining and marketing, and chemicals, primarily in Europe and the United States.
Petrofina has a spread of refining interests which are located in the United States, Belgium, Italy, the United Kingdom and Angola.
The PetroFina Board of Directors concluded that the terms and conditions of the Exchange Offer proposed by Total were fair and recommended that PetroFina shareholders accept the offer and tender their PetroFina Shares, ADSs, and Warrants, pursuant to the Exchange Offer.

Petrofina was thus unable to defend itself, especially since the Commission had forbidden those documents from being communicated to the undertakings' commercial departments.
The Commission further points out that Petrofina does not allege that the provisional minutes were not a fair and accurate report of the hearings and that the members of the Commission had at their disposal not only the provisional minutes but also the observations which the undertakings had made on them.
Although it is not certain that Petrofina was represented separately at the meetings before March 1982, the fact that its situation was generally treated separately from that of Monte in the market-sharing schemes would suggest that it participated in the cartel from 1980.
