The Roundabout Theatre Company is a non-profit, subscription based theatre company, based in New York City. They own two Broadway (Studio 54 and the American Airlines Theatre) and one Off-Broadway (the Laura Pels Theatre in the Harold and Miriam Steinberg Center for Arts). They are known for their Tony-award winning 1998 revival of Cabaret. Most recently, they produced the Broadway revivals of the Threepenny Opera and the Pajama Game. As a result, the theatre became inaccessible to the public and Roundabout was forced to cancel 35 performances of Cabaret.
Plaintiffs cross-moved for summary judgment on the issue of coverage, arguing that coverage existed because this was an "all-risk" policy, the loss at issue was "fortuitous," and because the policy's reference to "loss of, damage to, or destruction of property or facilities" should be read to include "loss of use" of the premises.
Similarly, the "Substitute Theatre" provision of the policy requires the insured to "exercise due diligence and dispatch to occupy a substitute theatre.

In 1974, Roundabout expanded to two theatres: Roundabout Stage One was a converted 299-seat movie theatre on 23rd street, and the original location was dubbed Roundabout Stage Two.
In 1983, Todd Haimes joined Roundabout as managing director and discovered that the company had a $2.5 million deficit on an annual budget of a $2.5 million and had been in Chapter XI since 1978.
Two weeks after being hired, Haimes was informed by the board of directors that the theatre had to be closed down, but in the eleventh hour, it was funded with a substantial contribution by then board chairman Chris Yegen, which kept the theatre in operation temporarily.
