As a condition to the closing, Armstrong shall pay or cause Match Creative to pay to TotalFilm, an amount equal to its credit balance in its capital account, excluding the $75,000 capital contribution not yet repaid to TotalFilm (assuming that TotalFilm's capital account on July 1, 2001, was zero).
